Subscription Terms

Subscription Agreement Terms

By subscribing to the Floral Subscription Service, the client agrees to the following terms:

1. Designer’s Choice:
• The client acknowledges that all arrangements are selected by the designer, and specific flower preferences are not accommodated within the subscription.
• Custom arrangement requests must be directed to our Custom Arrangement Services, which operates separately and may have its own pricing and terms.

2. Standard Glass Vase:
• A standard glass vase is provided with the first arrangement at no additional cost.
• The client is responsible for maintaining the vase and using it (or another suitable container) for subsequent deliveries.

3. Delivery Requirements:
• A client or their designated representative must be present at the delivery address to accept the arrangement. If not, a vase of water left in a shady area is recommended. Otherwise arrangement will be left at the door and client/subscriber assumes responsibility.

4. Subscription Management:
• The client may modify or cancel their subscription by contacting our team, subject to the subscription plan’s terms (e.g., notice period or billing cycle).
• The client is responsible for providing accurate and updated delivery information to avoid disruptions.

5. Payment and Billing:
• Subscription fees are charged according to the selected plan (e.g., weekly, biweekly, or monthly).
• Payments are processed automatically, and clients agree to keep payment information up to date.

6. Liability:
• The company is not responsible for damages to arrangements caused by improper handling after delivery or for deliveries missed due to the absence of a client representative.
• The company reserves the right to substitute flowers based on availability, maintaining the overall quality and aesthetic of the arrangement.


7. Term and Termination
a. Term: This Agreement begins on [Start Date] and continues until terminated by either party.
b. Cancellation by Customer: Customer may pause or cancel the Subscription at any time with 7 days written notice. No cancellation fees apply, but no refunds will be issued for payments already processed.
c. Termination by Florist: Florist may terminate the Agreement with 7 days notice if the Customer fails to make timely payments or breaches the Agreement.


8. Modifications
Blossom & Cloth reserves the right to modify the Subscription terms, including pricing, with 14 days written notice to the Customer. Continued use of the Subscription after such notice constitutes acceptance of the modified terms.

 

9. Limitation of Liability
Blossom & Cloth is not liable for any indirect, incidental, or consequential damages arising from the Subscription, including but not limited to allergic reactions, property damage, or dissatisfaction with the arrangement, except as required by law.

 

10. Force Majeure
Blossom & Cloth is not liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, supply chain disruptions, or labor disputes.


11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Florida. Any disputes arising under this Agreement shall be resolved in the courts of the jurisdiction.


12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.

Custom Floral Design Terms

By purchasing a Custom Floral Design, the client agrees to the following terms:

This Custom Floral Arrangement Agreement (“Agreement”) is entered into between Blossom & Cloth an LLC and the undersigned customer (“Customer”) on [Date of Agreement or Effective Date].


1. Services Provided
Blossom & Cloth agrees to design and deliver a one-time custom floral arrangement (“Arrangement”) tailored to the Customer’s preferences, including the specified vase or vessel (either provided by the Customer or selected by Florist) and the room where it will be displayed.


2. Arrangement Details
a. Design Customization: During an initial consultation, the Customer will provide details about their preferred vase or vessel (size, shape, color, material) and the intended room for display (e.g., living room, dining area, office). If the Customer does not provide a vase, Florist may select a suitable vessel under the Designer-Selected Vase option, as outlined in Section 3. The Arrangement will be designed to complement the vase and the room’s aesthetic, lighting, and ambiance, using premium, seasonal blooms.

b. Design Proposal: Florist will provide a design proposal outlining the flower types, colors, and arrangement style for Customer approval before creation.

c. Substitutions: Due to the nature of floral products, specific flowers or colors may be substituted based on availability, but Florist will ensure the Arrangement aligns with the Customer’s preferences and quality standards.


3. Pricing and Payment
a. Pricing:
• Custom Arrangement (Customer-Provided Vase): Starting at $75, depending on the size,
• Consultation Fee: An initial consultation (up to 30 minutes)

b. Payment Terms: Customer agrees to pay the total cost of the Arrangement, including any applicable taxes or delivery fees, in advance via [accepted payment methods, e.g., credit card, PayPal]. Prices may vary based on flower availability or specific design requests, and Florist will provide a final quote for approval.


c. Taxes and Fees: All prices exclude delivery fees or additional charges for special requests, which will be included in the final invoice.


4. Delivery Terms
a. Blossom & Cloth will deliver the Arrangement to the Customer’s designated address ([Customer Address]) on the agreed-upon date, subject to Florist’s operational schedule.

b. Customer must ensure someone is available to receive the delivery or provide a safe location for drop-off. Florist is not responsible for damage or loss after delivery to the designated location.

c. Delivery dates may be adjusted due to holidays, unforeseen circumstances, or flower availability, with prior notice to the Customer.


5. Cancellation and Refunds
a. Cancellation by Customer: Customer may cancel or modify their order within 12 hours of order payment with written notice to Blossom & Cloth for a full refund. Cancellations within 48 hours of invoice and payment may incur a 50% cancellation fee due to perishable materials and labor.

b. Cancellation by Florist: Florist may cancel the order with notice if unable to fulfill it due to unforeseen circumstances (e.g., supply chain issues), in which case a full refund will be issued.


6. Quality Assurance
Florist will use premium; fresh flowers sourced from trusted growers. If the Customer is dissatisfied with the Arrangement’s quality upon delivery, they must notify Florist within 24 hours to discuss remedies, which may include a replacement or partial refund at Florist’s discretion.

 

Blossom & Cloth is not responsible for damage to flowers due to customer’s lack of flower care as provided on the instruction card and website : www.blossomandclothFL.com


7. Limitation of Liability
Florist is not liable for any indirect, incidental, or consequential damages arising from the Arrangement, including but not limited to allergic reactions, property damage, or dissatisfaction, except as required by law. The Arrangement is provided “as is” once delivered.


8. Force Majeure
Florist is not liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, supply chain disruptions, or labor disputes.


9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Florida. Any disputes arising under this Agreement shall be resolved in the courts of the jurisdiction.


10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.

Tablescape Terms

Custom  Tablescape Design Terms

By purchasing a custom Tablescape design, the client agrees to the following terms:

This Custom Tablescape Design Agreement (“Agreement”) is entered into between Blossom and Cloth  (“Designer”) and [Client Name] (“Client”) for the provision of custom Tablescape design services for the event described below. By signing this Agreement, both parties agree to the following terms and conditions:

1. Event Details
• Event Date: [Insert Date]
• Event Location: [Insert Venue/Home Address]
• Event Type: [e.g., Dinner Party, Holiday Gathering]
• Estimated Guest Count: [Insert Number]

2. Services Provided
The Designer agrees to provide:
• A custom Tablescape design plan, including a mood board, color palette, and recommendations for non-floral elements (e.g., tableware, linens, candles).
• Fresh floral arrangements and accents, sourced and crafted by the Designer.
• [If applicable] On-site setup and styling on the event date.
• Delivery of floral elements to the event location.

3. Client Responsibilities
The Client agrees to:
• Purchase all non-floral elements recommended in the design plan (e.g., tableware, linens, candles, etc.).
• Provide a clean, clear table or surface for setup on the event date.
• Communicate any changes to event details (e.g., date, location, guest count) at least [7 days] prior to the event.
• Pay the agreed-upon fees as outlined in the Payment Terms.

4. Payment Terms
• Total Cost: [Insert Quote for Florals and Optional Styling Services]
• Deposit: A non-refundable 50% deposit is required upon signing this Agreement to secure the booking.
• Final Payment: The remaining balance is due 7 days prior to the event date.
• Payments can be made via credit card.
• Late payments may incur a fee of 3% per day.

5. Cancellation Policy
• Cancellations made 14 days or more before the event will receive a refund of any payments made, minus the non-refundable deposit.
• Cancellations made less than 14 days before the event will not be refunded.
• The Designer reserves the right to cancel this Agreement in the event of unforeseen circumstances (e.g., natural disasters, illness). In such cases, all payments, including the deposit, will be refunded.

6. Changes to Design
• The Client may request changes to the design plan up to 14 days before the event, subject to the Designer’s approval and any additional costs for revised florals or services.
• The Designer reserves the right to make minor substitutions to floral elements based on availability, ensuring the overall aesthetic remains consistent.

7. Liability
• The Designer is not responsible for damages to or loss of non-floral elements provided by the Client (e.g., tableware, linens).
• The Client assumes responsibility for ensuring the event space is safe and accessible for setup.

• Blossom & Cloth is not liable for any indirect, incidental, or consequential damages arising from the Arrangement, including but not limited to allergic reactions, property damage, or dissatisfaction, except as required by law. The Arrangement is provided “as is” once delivered.
• The Designer’s liability is limited to the cost of services provided under this Agreement.

8. Photography & Promotion
• The Designer reserves the right to photograph the Tablescape for portfolio, marketing, or social media purposes, unless otherwise requested by the Client in writing.
• The Client agrees to allow the Designer to use event photos for promotional purposes, provided no personal information is disclosed.

9. Governing Law
This Agreement shall be governed by the laws of Florida]. Any disputes arising from this Agreement will be resolved through mediation or arbitration in Jacksonville, FL.
